Article I - NAME

The name of this Association shall be the IDAHO ASSOCIATION OF STUDENT FINANCIAL AID ADMINISTRATORS (IASFAA).

Article II - PURPOSES

The purposes of the Idaho Association of Student Financial Aid Administrators are:

  1. To serve the needs and interests of students, faculty, and administration of institutions of post-secondary education and of individual, public, and private agencies.  To serve all concerned with or engaged in the support and/or administration of student financial aid by promoting and facilitating the coordination of student financial aid plans and programs, and by advising and assisting them in the promotion and development of effective programs of student financial aid.
  2. To promote and facilitate communications between post-secondary educational institutions and the sponsors of student aid funds.
  3. To stimulate, promote, and conduct systematic studies and research, cooperative experiments, education, conferences and such other related activities as are desirable or necessary in fulfilling the purposes of the Association.
  4. To foster and promote standards of professional preparation for, and the appointment, effectiveness, recognition, and association of financial aid administrators and counselors in institutions of post-secondary education and other public and private agencies and organizations concerned with or engaged in the support and/or administration of student financial aid. 
  5. To serve as a forum and action body to advise and influence programs and policies of related state, regional and national agencies, dealing with student financial aid.

Article III – MEMBERSHIP AND FEES

Section 1.  Types of Membership

              Membership shall be of three types - active membership, associate membership   and honorary membership.

 

Section 2.  Active Membership 

  1. Active membership shall be limited to professional persons actively engaged in student financial aid programs at Idaho institutions of post-secondary education, as determined by the Executive Council and specified in Policies and Procedures.
  2. Each individual active member in good standing shall be entitled to vote as a member of the Association, to attend meetings of the Associations, and shall be entitled to hold office in the Association.

 

Section 3. Associate Membership

  1. Associate membership shall be open to persons representing public and private agencies and organizations or individuals concerned with or engaged in the support and/or administration of student financial aid as determined by Policies and Procedures.
  2. Associate members in good standing shall be entitled to attend all meetings of the Association, but shall not be entitled to vote as a member of, or to hold office in the Association.

 

Section 4. Honorary (Lifetime) Membership

  1. Honorary membership shall be open to any person who has made a significant contribution to the Association or the financial aid profession in the State of Idaho. It may be awarded posthumously. 
  2. Honorary members shall be entitled to attend all meetings of the Association, but shall not be entitled to vote as a member of, or to hold office in the Association. Honorary members may serve on committees at the discretion of the President, with the approval of the Executive Council.

   

Section 5.  Discontinuation of Membership

   

Any member of the Association may be dropped from membership for: (1) nonpayment of fees or (2) conduct which in any way tends to injure the Association or to adversely affect its reputation or which is contrary to or destructive of its objectives.  In the latter circumstance, no member shall be dropped except after notification and being given the right to be heard by the Executive Council as provided in the Policies and Procedures.

The membership shall be an annual individual membership. Fees will be due and payable each year on a date specified in Policies and Procedures.

 

Section 6.  Fees

 

  1. The amount of annual fees for membership as active or associate member of the Association shall be determined by the Executive Council.
  2. The membership shall be an annual individual membership. Fees will be due and payable each year on a date specified in Policies and Procedures. 
  3. Members of the Association who are in arrears in the payment of their fees shall be considered to be not in good standing.
  4. Honorary members shall not be required to pay annual fees.

 

Section 7.  Dissolution of IASFAA

 

In the event that the IASFAA organization shall cease to exist, the association’s assets shall be distributed in the following manner:

            1. All outstanding IASFAA obligations shall be paid in full.

            2. An equal share shall be allocated to each educational institution represented by individual membership for the three (3) proceeding years.  Funds to be used for student scholarships and awarded based on Idaho residency and financial need, as determined by the institution.

Article IV - OFFICERS OF THE ASSOCIATION

           Section 1. 

The officers of the Association shall be the President, President-Elect, Vice-President, Immediate Past-President, Secretary-Treasurer, Secretary-Treasurer-Elect, and Representative-at-Large.

 

Section 2.

All officers, except Representative-at-Large, of the Association shall be elected at large from among the active members of the Association, by mail or electronic ballot.  The ballot shall be made available by April 1 of each year and the election shall be completed by April 15.  The Representative-at-Large shall be appointed by the President-Elect and approved by the Executive Council after the annual election has occurred.  All officers shall serve a one-year term or until their successors are elected or appointed

 

Section 3.

The term of office of elected officers shall begin annually May 1, and conclude the following April 30.

                   

            Section 4.          

With the Exception of the President and President-Elect, an elected officer may be a candidate to succeed himself/herself.

 

            Section 5. Duties of the Officers               

 

  1. The President shall be the chief elected officer of the Association, shall preside at all the meetings of the Association, and shall be Chairperson of and preside at all meetings of the Executive Council. The President shall appoint the members of all committees, except as otherwise specified in the Constitution or Policies and Procedures, and shall be an ex-officio member of all committees. The President shall represent the association by serving as a member of the WASFAA Executive Council. The President shall submit an annual report to the Association on all matters which may be of interest or concern to the members of the Association and which have taken place during the president's term of office.
  2. The President-Elect shall, in the absence or disability of the President and Vice President, perform the duties and exercise the powers of the President. The President-Elect shall also perform whatever duties and have whatever powers the President may from time to time assign. The President-Elect, or designee, shall represent the Association at the annual WASFAA meeting and succeed to the Office of President at the conclusion of the term as President-Elect.
  3. The Vice-President shall perform the duties of the President in the event of absence or incapacity of the President, and shall perform such duties as are assigned to the Vice- President by the President or prescribed by the Executive Council. The Vice-President shall be the chair of both the Nominations Committee and the Scholarship Committee.
  4. The Immediate Past-President serves as a member of the Executive Council and performs duties assigned by the President or prescribed in Policies and Procedures. The Past-President serves the Executive Council by providing historical background to assist in decision-making. The Past-President also serves as chair of the Policies and Procedures Committee.
  5. The Secretary-Treasurer shall: (1) be responsible for keeping and maintaining the records of the Association and the Executive Council, for the distribution of meeting notices and such other communication as provided for in the Constitution and Policies and Procedures and for the performance of such other duties as are appropriate to the Secretary-Treasurer's office or are prescribed by the Executive Council and (2) represent the Association in, and be responsible for, the receipt and expenditure of funds in accordance with the directives established by the Executive Council. The Secretary-Treasurer shall also maintain appropriate and adequate financial records and shall be ready, whenever required, to give to the Executive Council all monies and financial records, and shall give same to the Secretary-Treasurer's successor upon termination of the term of office. The Secretary-Treasurer shall additionally submit an annual financial report reviewed and approved by the Executive Council, to the Association; and shall be under such bond as determined by the Executive Council.
  6. The Secretary-Treasurer-Elect shall learn the record keeping and accounting procedures and become familiar with the financial records of the Association. This officer shall perform all duties as assigned by the President, Secretary-Treasurer or prescribed by the Executive Council and shall automatically become Secretary-Treasurer at the conclusion of the Secretary-Treasurer’s regular term of office.
  7. The Representative-at-Large shall perform all duties as assigned by the President or prescribed by the Executive Council.

 

          Section 6. Compensation and Expenses of Officers  

           None of the Elected Officers of the Association shall receive any compensation for their services as such to the Association. Any necessary travel expenses of an elected officer to represent the Association, may be paid from the Association funds by approval of the Executive Council.

  

         Section 7. Vacancies in Office

             

  1. A vacancy created by the death, resignation, or removal of the President shall be filled by the Vice-President.  A Vice-President succeeding to the office of President through such vacancy may serve the unexpired term of the deceased, resigned or removed President.
  2. A vacancy in any office other than that of President shall be filled with an active member of the Association to be appointed by a majority vote of the Executive Council from nominations by the President. Such appointment shall be on an interim basis until the next general election of officers, and shall not prejudice the election of the incumbent to a regular term of office.

Article V - THE EXECUTIVE COUNCIL

Section 1.

The voting members of Executive Council shall be composed of the officers of the Association described in Article IV, Section 1.

 

Section 2.

The Executive Council shall have full authority over the affairs of the Association and shall perform the functions of the Association during the interim between meetings of the Association. Such authority shall not include that of rescinding or modifying any official action taken by the Association.

 

Section 3.

The Executive Council may assist other associations whose purposes and ideals are compatible with those of the Association, through which the expansion of activities, programs, and communications of interest to the Association may be accomplished.

Article VI - MEETINGS

  Section 1.   Full Membership

The Association shall meet annually and at such other time as is deemed necessary and appropriate by the Executive Council and notice thereof shall be given to all members of the Association at least thirty (30) days prior to the time so fixed.

 

Section 2.   Executive Council

  1. Meetings of the Executive Council may be called by the President or upon petition by two other members of the Executive Council. The time and place of such meetings to be designated by the President.  
  2. Minutes of special meetings of the Executive Council shall be distributed to all members of the Association when appropriate and/or necessary.

     

Section 3.   Quorum

 

a.   Thirty percent of the eligible voting members of the Association shall constitute a quorum at any meeting of the Association.

b.   Four members present and voting shall constitute a quorum at any official meeting of the Executive Council.

Article VII-COMMITTEES

Committees of the Association, both standing committee and special committee, may be created to promote the purposes of the Association and shall consist of members of the Association, with their number, jurisdiction, methods of selection, and tenure determined in accordance with the Policies and Procedures.

Article VIII- POLICIES AND PROCEDURES  

 Section 1. 

Policies and Procedures consistent with this Constitution shall be adopted or amended by a majority vote of the Executive Council.

Section 2.

Policies and Procedures will govern the daily operations of the Association, but may not supersede decisions made by a majority vote of the active members of the Association.

Article IX- AMENDMENTS OF CONSTITUTION

  Section 1.

This Constitution may be amended by an affirmative vote of at least two-thirds of the active members of the Association.

Section 2.

Proposals to amend this Constitution may be initiated by the Executive Council, a duly constituted committee of the Association, or any member of the Association. Such proposals must be in writing and, if initiated by an individual member, they shall be signed by at least 5% of the members in good standing. Copies of such proposed amendments shall be delivered to the Secretary-Treasurer for distribution to all members of the Association and no vote shall be taken until at least thirty (30) days after a copy of such proposed amendments shall have been sent to all members.
